Contractual Framework & Service Agreements

When you partner with Karachi Web Solutions, you are engaging an elite engineering and design team. These Terms of Service outline the mutual obligations, deliverables, and project governance protocols that ensure successful deployment.

1. Acceptance of Terms

By commissioning a project, paying an initial deposit, or utilizing any web development, design, or consulting service provided by Karachi Web Solutions, you explicitly agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a corporate entity, you warrant that you possess the legal authority to bind that entity.

2. Project Scope & Specifications

All projects are executed based on a mutually agreed-upon project scope, proposal, or Statement of Work (SOW). Any additions, structural changes, or feature requests outside the original scope will be treated as an out-of-scope change request and may incur additional billing and timeline extensions.

3. Payment Milestones & Invoicing

To ensure dedicated resource allocation, projects operate on structured milestone billing (typically a 50% upfront mobilization deposit, intermediate milestone payments tied to staging approvals, and the remaining balance upon final deployment). All invoices are due upon receipt unless explicitly specified otherwise in writing. Delayed payments may result in a temporary suspension of staging servers and development operations.

4. Intellectual Property & Code Ownership

Upon full and final payment of all project fees, Karachi Web Solutions transfers 100% ownership of the final source code, custom design files (Figma assets), and proprietary database architecture to the client. We reserve the right to display completed projects within our agency portfolio and case studies as examples of our engineering capabilities.

5. Client Content & Responsibilities

The client is responsible for providing all necessary brand assets, copywriting, imagery, credentials, and API access keys in a timely manner. Delays in providing required content will result in corresponding extensions to the projected launch timeline. Karachi Web Solutions is not liable for project delays caused by withheld client inputs.

6. Testing, Revisions & Launch Sign-Off

Clients are provided access to a private staging environment to review the build during development. Each project includes a designated revision phase. Once the client provides final sign-off and the platform is deployed to production, subsequent changes or fixes resulting from late adjustments will fall under a separate maintenance or support agreement.

7. Limitation of Liability

Karachi Web Solutions shall not be liable for any indirect, incidental, or consequential damages, including loss of revenue, data corruption, or business interruption arising from the use or inability to use our delivered software, plugins, or web platforms, beyond the total financial value of the specific contract paid to our agency.

8. Governing Law & Jurisdiction

These terms and any operational disputes arising from our services shall be interpreted and governed by the laws applicable within Pakistan, with local jurisdiction applicable in Karachi and Peshawar operating hubs.

Frequently Asked Questions Regarding Our Terms

We operate using agile project management, but major structural changes midway through a build (such as switching from a standard WordPress build to a custom Next.js web application) require a formal scope adjustment. We will outline the timeline and cost implications before proceeding with any additions.

You own 100% of the intellectual property, source code, design files, and database architecture immediately upon final payment settlement and deployment of the project to your live server.

Our standard structure requires a 50% mobilization deposit to commence work and secure developer bandwidth, with the remaining balance divided across agreed staging milestones and final handover.

If an invoice remains unpaid past its due date, we reserve the right to pause active development and temporarily take down the private staging environment until the account balance is reconciled.

Project handover includes a brief training session and a post-launch warranty period for bug fixes. For long-term security patching, server monitoring, and continuous code updates, we offer dedicated Service Level Agreement (SLA) maintenance retainers.

Unless explicitly stated in the project proposal, third-party software licenses, premium WordPress themes, plugin subscriptions, enterprise cloud hosting (AWS/DigitalOcean), and domain registration fees are the financial responsibility of the client.

If client content or staging feedback is delayed past agreed deadlines, the overall project timeline will be extended accordingly. We manage our engineering sprints tightly, and prolonged stalls may require rescheduling developer bandwidth.

If a project is terminated by the client mid-development, the initial mobilization deposit is non-refundable, and an invoice will be issued for any additional engineering hours or design sprints successfully completed up to the date of formal cancellation.
